VALUSIS Ambassador Program Terms and Conditions

These terms govern your participation in the VALUSIS Ambassador Program. Please read them before you apply.

The VALUSIS Ambassador Program (the "Program") is operated by Valusis L.L.C-FZ, License No. 2417616.01, registered at Meydan Grandstand, 6th Floor, Meydan Road, Nad Al Sheba, Dubai, United Arab Emirates ("VALUSIS", "we", "us", "our").

By applying to the Program, or by sharing your personal code or referral link, you ("Ambassador", "you", "your") agree to these terms. They apply in addition to our Terms of Service and Privacy Policy, and to the terms of Social Snowball, the platform we use to run the Program. If you do not agree to these terms, please do not participate.

1. Eligibility

To take part in the Program you must be at least 18 years old, or the age of majority where you live, and legally able to enter into these terms.

You must not be subject to any agreement, employment condition, or law that would prevent you from participating. You are responsible for complying with the advertising, consumer protection, and tax rules that apply where you live.

We may approve, decline, suspend, or close any application or Ambassador account at our discretion.

2. Your account

The Program runs on Social Snowball. Once approved, you receive a dashboard where you can find your personal code and referral link, track orders placed through them, and set up how you get paid.

Keep your login details secure. You are responsible for activity that takes place under your account. To receive payment you must complete your payout details in the dashboard, including any tax information we are required to collect.

3. Your code and how referrals are tracked

You will be given a personal discount code and a referral link. An order counts toward your commission when the customer enters your code at checkout, or arrives through your referral link and completes the order in the same session.

Your code gives the customer 15% off their order. Codes cannot be combined with other offers, and the discount does not apply to gift cards, shipping, or taxes.

Tracking depends on the customer's browser and device. We cannot recover commission on orders that fail to track because of ad blockers, privacy settings, cleared cookies, a customer using a different code, or any other cause outside our control. If you change your code, the previous one stops tracking immediately, and updating your links is your responsibility.

4. Commission and qualifying orders

You earn 15% commission on the net value of every qualifying order.

Net value means the order total after any discount has been applied, and excludes shipping, taxes, duties, and gift cards.

An order does not qualify if it is

• placed by you, or by someone in your household, using your own code
• cancelled, refunded, returned, or charged back
• placed with a code you obtained or distributed in breach of these terms
• generated through automated traffic, coupon aggregation sites, or any activity we reasonably consider fraudulent
• paid for using someone else's payment method without their authorisation

We may change the commission rate, the customer discount, or the rules for qualifying orders at any time. Changes take effect going forward and will not reduce commission already earned and cleared.

5. Payment

VALUSIS offers a 60-day return window, so commission is held for 60 days from the date of the order before it becomes payable. This allows the return period to pass. If an order is returned or refunded during that time, the commission is removed from your balance.

Commission is paid once your cleared balance reaches 100 USD. Balances below that amount roll over to the following month and do not expire.

Cleared balances are paid monthly, through the payout method you set up in your dashboard. All commission is calculated and paid in US Dollars (USD). Any currency conversion or transfer fees charged by your payment provider are yours to cover.

Because of the 60-day holding period, commission on an order is normally paid in the second monthly payment run after the order date.

You are responsible for declaring and paying any tax due on what you earn.

6. How you may promote VALUSIS

The Program exists so that people who own and enjoy our watches can share them with others. What you say about VALUSIS should reflect your own honest experience.

You may not make claims about our products, materials, movements, water resistance, warranty, or availability that go beyond what is stated on valusis.com. You may not describe yourself as an employee, agent, or representative of VALUSIS, or speak on our behalf.

Your content must not contain unlawful, discriminatory, obscene, or defamatory material, and must not bring VALUSIS into disrepute.

7. Disclosure

Whenever you post publicly about VALUSIS in a way that could earn you commission, make the relationship clear. A visible label such as #ad, #affiliate, or a plain statement that you earn a commission is enough, placed where it is seen before someone clicks your link or uses your code.

Disclosure buried in hashtags, hidden behind a "read more" link, or left to the end of a video does not meet this requirement. Rules differ by country, and following the ones that apply to you is your responsibility. We may withhold commission or close your account if you do not disclose properly.

8. Prohibited conduct

The following are material breaches of these terms. They may result in your account being closed and any pending commission being forfeited.

• Posting your code or link on coupon, voucher, cashback, or deal aggregation sites, browser extensions, or forums of that kind
• Bidding on VALUSIS or any of our product or collection names in paid search advertising, or using them in ad copy or display URLs
• Registering domains, social accounts, or usernames that contain or imitate our name, or that suggest you are an official VALUSIS channel
• Sending unsolicited bulk email or messages promoting VALUSIS
• Using bots, click farms, incentivised traffic, or any automated method to generate orders or clicks
• Reselling VALUSIS products, or presenting yourself as an authorised retailer
• Buying advertising that redirects to valusis.com through your link without our written permission

9. Trademarks and content

We grant you a limited, non-exclusive, revocable licence to use the VALUSIS name, logo, product images, and marketing materials we supply, for the sole purpose of promoting our products under these terms. All rights in them remain ours. The licence ends when your participation ends.

When you publish content promoting VALUSIS, you grant us a non-exclusive, worldwide, royalty-free licence to repost and use that content on our own channels, including our website, social accounts, email, and paid advertising, together with your name, handle, and likeness as they appear in it. You confirm you own the content or have the rights needed to grant this.

10. Your status

You take part as an independent participant. Nothing here creates an employment, partnership, agency, or joint venture relationship, and you have no authority to enter into commitments on our behalf. Your own costs, equipment, and taxes are yours.

11. Indemnity

You agree to indemnify and hold harmless VALUSIS, its officers, employees, and agents against claims, losses, damages, and reasonable costs arising from your content or conduct, your breach of these terms, your breach of any applicable law or advertising rule, or any claim that your content infringes the rights of a third party.

12. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential loss, including lost profit, revenue, or opportunity, arising from the Program or these terms. Our total liability to you will not exceed the commission paid to you in the six months before the event giving rise to the claim.

The Program and the Social Snowball platform are provided as they are. We do not warrant that tracking will be uninterrupted or error free.

13. Term and termination

These terms apply for as long as you take part in the Program.

You may leave at any time by closing your account or writing to us. We may suspend or close your account at any time, with or without reason.

When your participation ends, your code stops working and you must remove VALUSIS links, codes, and materials from your channels. Commission that has cleared the holding period and was earned in line with these terms will still be paid. Commission connected to fraud or to a breach of these terms will not.

14. Changes to these terms

We may update these terms, the commission rate, or the structure of the Program. We will post the updated version on this page and update the date at the top. Where the change is significant we will also notify you by email or through your dashboard. Continuing to take part after a change means you accept it. If you do not, you may leave the Program.

15. Governing law and disputes

These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict of law rules.

If a dispute arises, we ask that you contact us first at contact@valusis.com so we can try to resolve it directly, and that you allow us thirty days to respond before taking any further step.

Any dispute that cannot be resolved this way will be subject to the exclusive jurisdiction of the courts of the Emirate of Dubai, United Arab Emirates. You and VALUSIS agree that Dubai is the proper venue and waive any objection based on inconvenient forum.

Nothing in this section removes any right you have under the mandatory consumer law of the country where you live.
